DivineMatch.co.uk (the "Site") is an online networking service designed for Single Christians. This Site is provided by DivineMatch, Ltd. (hereinafter "DivineMatch", "We", or "Us"), a company registered in England and Wales (Company Number 6239638) with its registered office address at: 2nd Floor 145-157 St. John Street, London, EC1V 4PY, UK.

Acceptance Of Terms

DivineMatch makes this Site, including all information, documents, communications, files, text, graphics, software, products and services available through the site (collectively, the "Materials") and all services, including Member Services, operated by DivineMatch and third parties through the site (collectively, the "Services"), available for your use subject to the terms and conditions set forth in this document and any changes to this document that DivineMatch may publish from time to time (collectively, the "Terms of Use"). If you do not agree to these terms and conditions, please do not use this Site or its Services.

By accessing or using this Site in any way, including, without limitation, use of any of the Services, downloading of any Materials, or merely browsing the Site, you agree to and are bound by the Terms of Use.

DivineMatch reserves the right to change the Terms of Use and other guidelines or rules posted on the Site from time to time at its sole discretion. Your continued use of the Site, or any Materials or Services accessible through it, after such notice has been posted constitutes your acceptance of the changes. Eligibility

You must be 18 years or older to use the Site or any of its Services. By accessing this site or using any of its Services you represent and warrant to DivineMatch that you have the right, authority and capacity to enter into this Agreement and abide by the terms and conditions within the Agreement. Membership Services are for your sole personal use and you may not authorise others to use your membership, assign or transfer your membership in part or in full to any other person or entity. The Services available through this Site are reserved for individuals; organizations, companies and/or businesses may not become members and may not use the Services available through the Site.

Defined Terms

All user-supplied information, profiles, materials, files, photographs, videos, communications, and documents are referred to collectively as "User Content." "DivineMatch Content" means all Materials provided by DivineMatch. User Content, and DivineMatch Content may have different restrictions and conditions associated with them.

Types Of Users

This Site accommodates two types of users: (1) Members; and (2) Subscribers. You may become a Member of DivineMatch's Service at no charge, and as a Member you will have access to some but not all of the Services available on this Site. If you wish to access additional features and services including communicating with other Members you must become a paying subscriber (Subscriber) by paying the fees outlined on the Site. Subscriber activities, like those of Members, are governed by these terms and conditions. DivineMatch reserves the right to change Subscriber fees at any time. If you do not agree with any change in the fees you may terminate your membership by providing notice via our contact form.

Service Subscribers must pay the monthly subscription fee as outlined on the Site. Such subscription shall entitle Subscribers to all Subscriber services available on the Site, including the ability to communicate with other Members. In addition to the terms and conditions outlined in this Agreement, upon becoming a Subscriber you acknowledge and accept full responsibility for all recurring fees prior to cancellation and you authorise DivineMatch to submit monthly charges without further authorisation from you. You shall keep your billing information current, complete and accurate and promptly update any changes to your billing information including but not limited to billing address, credit card number and card expiration date. You must notify DivineMatch if your payment method is cancelled (e.g. loss or theft of your card) or become aware of unauthorised use or disclosure of your username and password. In failing to provide Us with such information, you agree that We may continue charging for use of the Service under your billing account.

The terms and conditions expressed in this agreement apply to all users and visitors of this Site, and unless expressly provided otherwise, the terms "Member", "User" or "Visitor" includes both Members and Subscribers.

Membership, Term And Termination

Upon becoming a Member or Subscriber, you agree to provide accurate, current and complete information about yourself and agree to regularly update and maintain the information about yourself to keep it accurate, current and complete. If your Membership information is found to be untrue, not current, inaccurate or incomplete in any respect, DivineMatch reserves the right to terminate this Agreement and your use of Our Service with immediate effect. If your membership is terminated under these circumstances you shall not be entitled to a refund of any used or unused Subscriber fees.

This Agreement shall remain in full force and effect for the duration of your membership and use of the Service. You may terminate your Membership at any time, without reason, by providing written notice of termination to Us. Notices of termination should be sent via our contact form. Upon such termination, DivineMatch shall refund you, pro rata, any unused part of the Subscriber fees.

Likewise, We reserve the right to terminate your membership and use of Our Service, at any time, for any reason, with or without explanation upon sending a written notice to the address (email or otherwise) you provided to us when you became a Member or Subscriber. DivineMatch also reserves the right to delete your Service account if it is inactive for a period of 12 months.

If DivineMatch determines, in its sole discretion, that you have violated this Agreement in any way, you shall not be entitled to, nor shall DivineMatch be liable to you for, any form of refund for any used or unused Subscriber fees. Moreover, DivineMatch reserves the right to continue to bar your use of all or part of the Site and/or Service in the future. This Agreement shall remain in full effect even after your membership has been terminated, irrespective of the cause of termination.

You have the have the right to cancel your subscription within seven days of receipt of payment. If you wish to terminate your subscription, please provide written notice to our billing department via our contact form. In the event of such termination, unless DivineMatch has determined that you violated this Agreement, your subscription fee will be returned and your subscription to the Site terminated.

Intellectual Property; Limited License To Users

The Materials and Services on this Site, as well as their selection and arrangement, are protected by copyright, trademark, patent, and/or other intellectual property laws, and any unauthorized use of the Materials or Services at this Site may violate such laws and these Terms of Use. Except as expressly provided herein, DivineMatch and its suppliers do not grant any express or implied rights to use the Materials and Services. You agree not to copy, republish, frame, download, transmit, modify, rent, lease, loan, sell, assign, distribute, license, sublicense, reverse engineer, or create derivative works based on the Site, its Materials, or its Services or their selection and arrangement, except as expressly authorized herein. In addition, you agree not to use any data mining, robots, or similar data gathering and extraction methods in connection with the Site.

In addition to the Materials and Services offered by DivineMatch, this Site may also make available materials, information, and services provided by third parties (collectively, the "Third Party Services"). The Third Party Services may be governed by separate license agreements that accompany such services. DivineMatch offers no guarantees and assumes no responsibility or liability of any type with respect to the Third Party Services, including any liability resulting from incompatibility between the Third Party Services and the Materials and Services offered by DivineMatch. You agree that you will not hold DivineMatch responsible or liable with respect to the Third Party Services or seek to do so.

Except as expressly indicated to the contrary elsewhere on this Site, you may view, download, and print the DivineMatch Content and User Content available on this Site subject to the following conditions:

1. The DivineMatch Content and User Content may be used solely for personal and information purposes.
2. You may not use the Service or any of its contents in connection with any commercial endeavours, such as advertising or solicitation of other Members to buy or sell products or services via the Our Service. Likewise, you agree not to transmit through any means, any junk mail, chain letters, or any similar content to other Members.
3. The DivineMatch Content and User Content may not be modified or altered in any way.
4. The DivineMatch Content and User Content on the Site may not be distributed or sold, rented, leased, or licensed to others.
5. You may not remove any copyright or other proprietary notices contained in the DivineMatch Content and User Content.
6. DivineMatch reserves the right to revoke the authorization to view, download, and print the DivineMatch Content and User Content available on this Site at any time, and any such use shall be discontinued immediately upon notice from DivineMatch.
7. The rights granted to you constitute a license and not a transfer of title or any other right.

The rights specified above to view, download, and print the DivineMatch Content and User Content available on this Site are not applicable to the design or layout of this Site. Elements of this Site are protected by trade dress and other laws and may not be copied or imitated in whole or in part.

License To DivineMatch For User Content

Many of the Services offered through this Site accommodate and/or require User Content. By submitting User Content to this Site you grant DivineMatch the following type of license:

For User Content that is the result of your creative efforts and which is intended to be displayed on the Site, you grant DivineMatch a worldwide, royalty-free, non-exclusive license to modify (for purposes of formatting, maintenance, or Site administration only) and reproduce such User Content. You also grant DivineMatch the right to distribute and publicly display and perform such User Content for the purpose for which such User Content was submitted to the Site. (b) Stalk or harass other Members; or
(c) Express or imply that any statements you make are endorsed by Us, without Our prior consent.

You are solely responsible for your interaction with other Members of the Site. However, DivineMatch reserves the right, but is not obligated, to monitor and / or mediate disputes between you and any other Service Member.

Managing Content And Communications

DivineMatch reserves the right, in its sole discretion, to delete or remove User Content from the Site and to restrict, suspend, or terminate your access to all or part of this Site, at any time without prior notice or liability. In the event that DivineMatch deletes any such content, you will not be entitled to any refund of any used or unused Subscriber fees. DivineMatch may, but is not obligated to, monitor or review any areas on the Site where users transmit or post User Content, including but not limited to areas where Services are available, and the substance of any User Content. To the maximum extent permitted by law, DivineMatch will have no liability related to User Content. DivineMatch disclaims all liability with respect to the misuse, loss, modification, or unavailability of any User Content.

Warranties And Disclaimers

DivineMatch is an online networking service only, and it does not represent or warrant in any way to broker relationships or marriages. You are solely responsible for your interactions with other members and you understand that DivineMatch does not screen its Members in any way or inquire into the backgrounds of its Members. Likewise, DivineMatch does not verify the statements of its Members. As such, DivineMatch makes no representations or warranties as to the conduct of Members or their compatibility with any other current or future Member. Please take necessary precautions to protect your safety.

Except as expressly provided otherwise in a written agreement between you and DivineMatch or you and a third party with respect to such party's materials or services, this Site, and all Materials and Services accessible through this Site are provided "as is" without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability or fitness for a particular purpose, or the warranty of non-infringement. Limitation Of Liability

In no event shall DivineMatch, its subsidiaries, affiliates, agents, officers, directors, employees, partners, or suppliers be liable for any special, punitive, incidental, direct, indirect, compensatory or consequential damages of any kind, or any damages whatsoever, arising out of or relating to your conduct or that of any other Member in connection with the use of the Service, including without limitation, bodily injury, emotional distress, and/or any other damages resulting from communications or meetings with other Users of this Service or persons you meet through the Site. As such, you agree to take reasonable safety measures when interacting with other Users of the Site. DivineMatch's liability to you for any cause of action whatsoever, and regardless of the form of action, shall at all times be limited to the amount paid by you to DivineMatch for the Service during your term of membership.

Indemnity And Liability

You agree to indemnify and hold DivineMatch, and its subsidiaries, affiliates, officers, directors, agents, partners and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of content you submit, post to, or transmit through the Site (including, without limitation, any User Content or computer viruses), your use of the Site, your connection to the Site, your violation of these Terms of Use or your violation of any rights of another person or entity.

Governing Law And Jurisdiction

This Site (excluding linked sites) is controlled by DivineMatch from its offices within England. By accessing this Site, you and DivineMatch agree that all matters relating to your access to, or use of, this Site shall be governed by the statutes and laws of England. Subject to the arbitration clause below, You and DivineMatch also agree and hereby submit to the exclusive personal jurisdiction and venue of the Courts within England with respect to such matters.

Any dispute relating in any way to your visit to this Site shall be submitted to arbitration and shall be settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules, except that, to the extent you have in any manner violated or threatened to violate DivineMatch's intellectual property rights, DivineMatch may seek injunctive or other appropriate relief in any court of competent jurisdiction in England, and you consent to exclusive jurisdiction and venue in such courts.

General

The Terms of Use and the other rules, guidelines, licenses and disclaimers posted on the Site constitute the entire agreement between DivineMatch and you with respect to your use of the Site. If for any reason a court of competent jurisdiction finds any provision of these Terms of Use, or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the parties as reflected by that provision, and the remainder of the Terms of Use shall continue in full force and effect. Any failure by DivineMatch to enforce or exercise any provision of these Terms of Use or related right shall not constitute a waiver of that right or provision.
